Computer Shut Off

Emachines W3052 Amd Sempron™3000+1.99 GHz,448MB Ram
My computer shuts off randomly and starts making a beeping noise when it shuts off .I have to unplug my modem to stop the beeping and when i unplug it, it beeps several times after i unplug it before it stops.The beeping noise is only two beeps repeatedly.Kind of like :long and short ,high and then low pitch,_._._. When i start up i have a black screen that pops up so fast its hard to read before it's gone,but i think it is C:/Windows/System32.EXE.What can cause this ?

Do the beeps seem to have any type of pattern to them?
BIOS beep codes
I'm kind of leaning towards some bad memory

Have you recently removed any viruses or malware/adaware from your system?
My browser caused a flood of traffic, sio my IP address was banned. Hope to fix it soon. Will get back to posting as soon as Im able.
