I hv a toshiba notebook processor intel® core ™2 Duo CPU with 4.00 GB RAM and 64 bit OS
I hv a windows 7 professional 32 bit x 86 upgrade dvd
Are these compatible will this work ascan upgrade.

Yes, if Toshiba has Windows 7 32-bit drivers for your computer.  No, if they don't.

and you have to install the same edition of windows not two different versions
