Windows upgrade help

I was wondering, would A windows 7 install ask for a product key if i upgraded from xp to it via the setup.exe in the win 7 install disk? I have the xp product key but not the win 7 key and since my other win 7 install cd, although having a product key,  doesn't work, probably because it is a 64 bit key and I'm trying to use it on a 32 bit install.

What computer model are you trying to in place upgrade or upgrade to windows 7? There is no in place upgrade path from Windows XP to Windows 7 only a clean install using a full retail windows edition with product keys sticker or labels.
