I have had good luck with Active Killdisk, erasing and formating thumbdrives (I use the free version).  Have you also tried booting into a linux distro and erase it that way?

Look to see on the USB drive if there is a tiny switch that is like an "on/off" switch for write protection. Otherwise, it is possible to go into the registry editor to change the write protection value. Do not do this without clear instructions on how to change the registry setting.
