Resource Suddenly Drains -- Expect It Or Malware?

With only 512 MB of memory I find it running out rather quickly-- but here's the thing.
It'll be on all day with no problems, multiple programs open, and suddenly within a matter of seconds
the resource meter clicks to 99% and Windows XP pops up with that little alert in the right hand corner.

I'm wondering if this could be mal/spy/adware or not.
Spybot and Ad-Aware Personal did pull up a few results that led me to believe this.
There is also a few odd .exes starting up with my computer. Since I just upgraded to XP from ME to eliminate my problems I'm a little new to this edition of Windows and am wondering if I should be concerned about these new entries in the Processes box.

AdAware SE 1.06 http://www.majorgeeks.com/download506.html
MS AntiSpy - http://www.microsoft.com/downloads/details...&displaylang=en (XP and W2K only)

DownLoad them (they are free), install them, check each for their
definition updates
and then run AdAware, MS AntiSpy (W2k/XP) and Spybot, fixing anything
they say.

In SpywareBlaster - Always enable all protection after updates
In SpyBot - After an update run immunize
