Serial to Ethernet Emulator

I'm looking for something to fit this application.

I have a terminal program on my laptop called VMMI.
It is a Vertical Communications phone system programming tool.

I open it and select Com2 (this is a USB to Serial adapter attached to my laptop)
I press connect and this activates Com2 usb to serial device physically connected to the phone system
Then I can program it.

My Goal:

To open the same program on my laptop, select COM3. hit connect..
My laptop thinks COM3 is really serial when actually it is ethernet sending to a remote device
Precidia iPocket RS232

connected to the ethernet and then serial connected to the phone system...

WHat program can emulate a serial connection and then talk to an ethernet device at the far end..

All done on the same LAN..
