Xp Pro 'system' Process 100% Cpu

Every so often my computer uses 100% of cpu, due to a process called "SYSTEM" not System Idle Process. When i use Windows task manager it uses all free cpu resources, up to 100%. Only uses 236k Mem Usage.

it does not seems to be virus, adware,malware. If i end process the pc shuts down, dialog box counts down 60 secs. It requires a shutdown and a restart to get cpu usage normal. Any ideas on how to fix/solve this problem would be of great help
