So I have a Foxconn A78AX-S AM2+/AM2 AMD 770 ATX AMD motherboad and AMD Athlon 64 X2 5600+ Windsor 2.8GHz 2 x 1MB L2 Cache Socket AM2 89W Dual-Core Processor and i'm looking to up grade to a AMD Phenom X4 9750 processor

1. will I need a new motherboard
2. how much performance increase will I see in my games? (i'm already running a GT240 Graphics card, 1GB GDDR5)

You will actually see a minimal decline in performance unless the game takes advantage of all 4 cores. The clock speed of the 9750 is 2.4ghrz and the processor you have is 2.8ghrz. You wont notice a difference.

According to Foxconn, these are the CPU's your motherboard supports. The AMD Phenom II X4 945 Deneb 3.0GHz would work, I checked for the 955, but it said the 95W version was supported but not the 125W. If you want to save a little money, the AMD Athlon II X4 640 Propus 3.0GHz would also work. You may need to download the most recent BIOS from Foxconn to use these CPU's. You really should update your CPU, it is old. However, the GPU should also be more powerful, depending on the games you play. The GT 240 isn't exactly fast.

...you only should if you do media encoding, otherwise, spend your money on the quad core. Not all games even use four cores, let alone six.

Just a suggestion, telling what the motherboard is capable of using :)
