Changing motherboards from a dell

I want to upgrade a dell computer i have. it is a am2 motherboard and i want to upgrade to am3. if all i do is switch motherboards i can still use the same Vista cd key. And it should be essentially plug an play correct?

MS considers a change of motherboard...a different system.

I don't know what Dell's take on this might be.

Moving the hard drive to a different motherboard has its own problems.
