I have an Acer laptop with a dual core processor, 2 GB Memory, 320 HDD and display=ATI Radeon HD 4200 graphics and hyper memory upto 896 MB. I wanted to play Homeworld 2. I have downloaded it but doesn't seem to work.
Is it compatibility issue? Other wise can someone suggest a site where I can download Homeworld 1 for free or paid? either ways it's fine.

What does the error message say? I have Homeworld 2, but haven't installed it on my Windows 7 machine. It's a great game but it does not need Homeworld 1 or Cataclysm to play. Have you tried running the game as administrator or in compatibility mode?

You should make sure that you're patched to the latest version and, as DBJ said, run it in compatability mode.
