After i installed XP, i tried different driver but it didn't help. If go device manager there i see yellow exclamation mark. I've unstalled and  then restarted many times same C-media device with yellow exclamation mark appears. I'm totally frustaed and annoyed. Please some one tell me how to fix.

Good to hear.
Always keep the Driver CD handy, when you are attempting to install Windows.
