The first link which is a Foxconn A78AX-S AM2+/AM2 AMD 770 ATX AMD Motherboard will work, it supports DDR2 1066 Mhz Memory.
But your present processor is supported. I would take it you are buying the motherboard with the intentions of upgrading the processor to a faster one later in time.
The second Motherboard is an ASUS M2N68-AM PLUS AM3/AM2+/AM2 NVIDIA Geforce 7025/nForce 630a Micro ATX AMD Motherboard.
Keep in mind that motherboard is a MICRO motherboard. If your going to go micro, you will need a new micro case to house the motherboard in and micro expansion cards.
Also yes it does support your present CPU, but this is the specs on the memory:
*Due to AMD CPU limitation, DDR2 1066 is supported by AM2+ CPU for one DIMM per channel only
Neither motherboard specifies if it will support DDR2 SDRAM 400 (pc2 3200) Memory.
I could be wrong seeing how that information is not being listed. It basically depends on if the BIOS settings allows for DDR2 400 type RAM. But if it doesn't, then you could always upgrade your RAM to DDR2 667 or DDR2 800.
Although i do like the Asus brand name, I think of the two the Foxconn A78AX-S AM2+/AM2 AMD 770 ATX AMD Motherboard would be your better choice and it will fit your current ATX style tower's profile.
