heros of might and Magic (i know)

Ok, so a guy in my hall has an old copy of hero's of might and magic, and when I try to install it for his new xp computer, it gives me this error

C:\WINDOWS\system32\autoexec.nt. This system file is not suitable for running MS-DOS and Microsoft Windows applications.

I know this has something to do with the FAT32 system that windows now uses, im just not sure what perse. Can anyone help me out.
