comp keeps rebooting, and error trying to install windows

Hey guys, i have a friends comp, P4, 256 ram, just basic. They kept getting error messages, couldnt get into comp, then it would restart over and over, safe mode wont work either.
Im trying to reinstall windows, 3 times in a row, gets to the Terms of agreement, i push F8, then i get this error message.
check to make sure any new hardware or software is properly installed. If this is new installation, ask your hardware or software manufacturer for any windows updates u might need"

Technical info is STOP:0X00000051 (0X00000003,0X00000003,0X00000000,0XE1184000)
I ran mem test and found no problems, any ideas what i should try next???

And, yes, im booting to the cd, and its the cd that came with the computer.
