Is IE-Spyad OK to use with Windows98SE? I thought it was and I downloaded and placed it in a folder then I read the REad Me and it mentions Windows 2003 Server and Windows XP SP2.

Yes it is, as long as you have Internet Explorer version 5.0 or higher
