What is the exact error message that you get?
Is the OEM disk the XP disk? Is it an upgrade disk or a retail disk?
Do you have a copy of the 9x OS disk (if it's an upgrade disk for XP)?
Have you backed up your data? Have you performed any hardware diagnostics?
