Losing Ntoskrnl And Now Ks.sys Error After Replacing It

Two systems on workgroup lost ntoskrnl. got them up by restoring windows then one went down again and I tried repairing with my win 2000 pro disk and get "stop: c:0000263 could not locate entry point KsGetFirstChild in driver KS.SYS"

the system won't boot so I can't attain a log.

Any help is appreciated I have been on this for three days.
