In a nutshell:
Pros for vista 64 bit:
*Takes better advantage of multi-core processors
*Slightly faster when dealing with large calculations
*Allows you to go paste 4 GB RAM

Cons for 64 bit Vista:
*Some software are not compatible on 64 bit platforms

Very little software is incompatible with 64-bit. Typically, programs which operate deep within the system, like security programs will have issues and must be 64-bit. Games and most end-user applications will work normally. However, there are some exceptions, like PGP, that specifically block itself from installing on a 64-bit OS. If a program has been developed to take advantage of 64-bit instruction sets and memory allotments, it will be faster than a 32-bit counterpart.

That is the key advantage, and personally, I believe it's worthwhile
