Most likely, but we need to know the model of the motherboard to be sure.
Two thing worth pointing out though: A Pentium D is a dual-core Pentium 4 and the GHz isn't a performance measurement.

For a performance rating there's the bus speed your processor runs at times the GHz rating of your processor, but you must also take into account the core itself, as Core 2 Duos at 2.4 Ghz would whoop a 4.0 Ghz pentium 4. A pentium 4 would be a downgrade from Pentium D more likely than not, so I would reccommend a good new Pentium D like the D 930. Your mobo may even be able to handle Core 2 Duos, but you would have to check.

Putting a Pentium 4 in place of a Pentium D is a downgrade.
