What OS is installed on the laptop? I'm not familiar with "ICR", could you explain that please? I'm presuming that this is a dialup connection and not a DSL connection - am I correct?

First step would be to ensure that File and Printer Sharing is enabled on each system.
Also, try disabling IPv6 and disabling the DHCP Broadcast flag using this article:
http://support.microsoft.com/default.aspx/kb/928233I'm guessing that there's a problem with communications between the 2 NIC's - but can't quite figure out what it is (I'm not very familiar with ICS).
Perhaps the simplest fix would be to purchase a router to connect the 2 PC's to and let it do the worrying about controlling the signals. While dialup routers are somewhat hard to find, DSL routers are very common and will connect directly to the DSL modem.
