Can you tap F8 while the BIOS is loading and enter Safe Mode? You may need to remove the some of the drivers that are related to the motherboard so XP can request and install the new motherboard drivers.
Are there any intergrated componants? Video, Ethernet, modem,..?

i have seen 2 regular hardware issues regarding that-memory-syste ram, and hard drive issues.
try safe mode and look for loading device drivers like acklan said, but if it is mamory, you stillm ay be able to boot to safe mode, the bad addresses may be high enough to let y ou boot to safe mode.
i suggest forst trying a quick and sinple memory test before you rip out any software.
